1. Agreement to Terms

By downloading, installing, or using the Lkarna mobile application ("App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Lkarna ("Company," "we," "us," or "our").

2. Description of Service

Lkarna is a merchant ledger application that provides:

• Customer account management
• Transaction recording and tracking
• Payment management and reminders
• Financial reporting and analytics
• Multi-user access for business operations

The App is designed for merchants and businesses to manage their customer credit accounts and transactions.

3. Eligibility

To use the App, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Be a registered business or authorized representative of a business
• Have a valid phone number for account verification
• Not be prohibited from using the App under applicable laws

4. Account Registration

4.1 Account Creation

To access the App's features, you must create an account by providing:

• A valid phone number
• Your name and business information
• A secure PIN for authentication

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your PIN and account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Using strong authentication methods (including biometric if available)

4.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

5. Acceptable Use

5.1 Permitted Uses

You may use the App to:

• Record legitimate business transactions
• Manage customer accounts and balances
• Send payment reminders to customers
• Generate business reports
• Collaborate with authorized team members

5.2 Prohibited Uses

• Use the App for any illegal or unauthorized purpose
• Record fraudulent or fictitious transactions
• Harass, abuse, or harm customers through the App
• Attempt to gain unauthorized access to the App or its systems
• Reverse engineer, decompile, or disassemble the App
• Use the App to transmit malware or malicious code
• Violate any applicable laws or regulations
• Infringe on the rights of others
• Use automated systems or bots to access the App
• Share your account credentials with unauthorized persons

6. User Content

6.1 Ownership

You retain ownership of all data and content you input into the App ("User Content"), including customer information, transaction records, and business data.

6.2 License to Us

By using the App, you grant us a limited license to process, store, and display your User Content solely for the purpose of providing and improving our services.

6.3 Responsibility

You are solely responsible for:

• The accuracy of your User Content
• Ensuring you have the right to input customer information
• Complying with data protection laws regarding customer data
• Backing up important data

7. Customer Data and Privacy

7.1 Customer Information

When you input customer information into the App, you represent that:

• You have obtained necessary consent from customers
• The information is accurate and lawfully obtained
• You will use the information only for legitimate business purposes

You agree to:

• Notify affected parties in case of a data breach

8. Fees and Payments

8.2 Payment Terms

• Subscription fees are billed in advance

• We reserve the right to change pricing with reasonable notice

8.3 Taxes

You are responsible for all applicable taxes related to your use of the App.

9. Intellectual Property

The App, including its design, features, code, and content, is owned by Lkarna and protected by intellectual property laws. You may not copy, modify, or distribute any part of the App without our written permission.

9.2 Trademarks

"Lkarna" and associated logos are trademarks of Lkarna. You may not use these trademarks without our prior written consent.

9.3 Feedback

If you provide feedback or suggestions about the App, you grant us the right to use such feedback without compensation or attribution.

10. Third-Party Services

The App may integrate with third-party services (e.g., payment processors, SMS providers). Your use of such services is subject to their respective terms and conditions. We are not responsible for third-party services.

11. Disclaimers

11.1 "As Is" Basis

11.2 No Guarantee

We do not guarantee that:

• The App will be uninterrupted or error-free
• Defects will be corrected
• The App is free of viruses or harmful components
• Results from using the App will be accurate

12. Limitation of Liability

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LKARNA SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from your use or inability to use the App

12.2 Cap on Liability

Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Lkarna, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

14. Termination

14.1 By You

You may terminate your account at any time by:

• Deleting your account through the App settings
• Contacting us at contact@ets-tisg.com

14.2 By Us

We may suspend or terminate your access to the App if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Required by law
• We discontinue the App

14.3 Effect of Termination

Upon termination:

• Your right to use the App ceases immediately
• We may delete your User Content after a reasonable period
• Provisions that should survive termination will remain in effect

15. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes through:

• In-app notifications
• Email to your registered address
• Posting updated Terms in the App

Continued use of the App after changes constitutes acceptance of the modified Terms.

16. Governing Law and Disputes

16.1 Governing Law

These Terms are governed by the laws of the Islamic Republic of Mauritania.

16.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

• Good faith negotiation
• Mediation in Nouakchott, Mauritania
• Binding arbitration or court proceedings in Mauritania

17. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lkarna.

If any provision of these Terms is found invalid, the remaining provisions will continue in effect.

You may not assign your rights under these Terms. We may assign our rights to any affiliate or successor.

17.5 Language

These Terms may be provided in multiple languages. In case of conflict, the English version shall prevail.
